Code of Conduct

1. Introduction

The JOMA Code of Conduct for Manufacturers, Distributors and Suppliers (hereinafter, the Code) defines the minimum standards of ethical and responsible conduct that must be observed by manufacturers, distributors and suppliers of the products marketed by JOMA in the course of their activities, in accordance with JOMA’s corporate culture, firmly grounded in respect for human and labor rights.

JOMA undertakes to provide the necessary means to ensure that manufacturers, distributors and suppliers are aware of, understand and are able to assume compliance with this Code.

The Code applies to all manufacturers, distributors and suppliers involved in purchasing, manufacturing and finishing processes and promotes and is based on the general principles that define JOMA’s ethical conduct:

All activities shall be carried out in an ethical and responsible manner.

Any person who maintains, directly or indirectly, an employment, economic, social or industrial relationship with the company shall receive fair and respectful treatment.

All activities shall be carried out in an environmentally responsible manner.

All manufacturers, distributors and suppliers (production centers not owned by JOMA) shall fully adhere to these commitments and promote responsibility to ensure that the standards set forth in this Code are complied with.

Suppliers shall only be selected when they clearly add value to JOMA. To ensure this, supplier requirements must be defined and selection must be made impartially, choosing the supplier that best meets the company’s needs, based on objective criteria of quality, price, service, reliability, availability, technical excellence and delivery.

 

2. Prohibition of Forced Labor

JOMA shall not permit any form of forced or involuntary labor among its manufacturers, distributors and suppliers. They may not require workers to lodge any “deposit” nor retain documents proving their identity. Manufacturers shall recognize the right of their workers to leave their employment upon giving reasonable notice (1).

 

3. Prohibition of Child Labor

Manufacturers, distributors and suppliers shall not employ minors. JOMA defines a minor as any person under 16 years of age. If local legislation establishes a higher age limit, such limit shall be respected (2).

Persons between 16 and 18 years of age shall be considered young workers. They shall not work night shifts or under hazardous conditions (3).

 

4. Prohibition of Abuse or Inhumane Treatment

Manufacturers, distributors and suppliers shall treat their employees with dignity and respect. Under no circumstances shall physical punishment, sexual or racial harassment, verbal abuse, abuse of authority, or any other form of harassment or intimidation be tolerated.

 

5. Health and Safety at Work

Manufacturers and suppliers shall provide their employees with a safe and healthy workplace, ensuring minimum conditions of lighting, ventilation, hygiene, fire protection, safety measures and access to drinking water.

• Workers shall have access to clean toilets and drinking water. Where conditions require it, food storage facilities shall be provided.

• Dormitories, where provided, shall be hygienic and safe.

• Manufacturers and suppliers shall take the necessary measures to prevent accidents and damage to workers’ health, minimizing, as far as possible, risks inherent to the work.

• Manufacturers and suppliers shall provide their workers with regular health and safety training. The company shall keep appropriate records of the training provided. They shall also designate a health and safety officer within Management with sufficient authority and decision-making capacity (4).

 

6. Payment of Wages

Manufacturers and suppliers shall ensure that wages paid to their workers are at least equal to the legal minimum or the applicable collective agreement, if higher. In any case, wages shall always be sufficient to cover at least the basic needs and any other needs that may be considered reasonable additional needs of workers and their families.

Manufacturers and suppliers shall not make deductions from workers’ wages for disciplinary reasons or for any reason other than those established by applicable legislation, without their express authorization. They shall also provide workers, at the time of hiring, with understandable written information regarding wage conditions and, at the time of periodic wage payment, information regarding its particulars.

Manufacturers and suppliers shall ensure that wages and other benefits or entitlements are paid in a timely manner and in accordance with applicable legislation and, in particular, that payments are made in the manner most convenient for workers (5).

 

7. Product Health and Safety

Manufacturers and suppliers are responsible for ensuring that all products supplied to JOMA comply with JOMA’s Health and Safety standards so that the items marketed do not pose risks to customers.

 

8. Environmental Commitment

Manufacturers and suppliers shall maintain an ongoing commitment to environmental protection and shall comply with the standards and requirements established in applicable local and international legislation.

They also undertake to comply with the environmental standards established by JOMA, including, where applicable, the reduction and compensation measures necessary to implement such standards.

 

9. Confidentiality of Information

Manufacturers and suppliers are obliged to preserve the integrity and confidentiality of the information they receive as a result of the commercial relationships they maintain with JOMA.

The obligation of confidentiality shall remain in force after the termination of their relationship with JOMA and shall include the obligation to return any material related to the company that the manufacturer or supplier may have in their possession.

 

10. Regular Employment

Manufacturers, distributors and suppliers undertake to ensure that all forms of employment they develop fall within applicable local legislation. In this way, they shall not undermine workers’ rights recognized under labor and social security legislation through arrangements in which there is no genuine intention to promote regular employment within the framework of ordinary employment relationships.

 

11. Traceability in Production

Manufacturers, distributors and suppliers may not subcontract production to third parties without the prior written authorization of JOMA. Those who do so shall be responsible for ensuring compliance with this Code by such third parties and their workers. Likewise, manufacturers, distributors and suppliers shall apply the principles of this Code to home workers forming part of their production chain and shall ensure transparency regarding the workplaces and working conditions of such workers.

 

12. Product Health and Safety

Manufacturers, distributors and suppliers are responsible for ensuring that all products supplied to JOMA comply with JOMA’s Health and Safety standards so that the items marketed do not pose risks to customers.

 

13. Environmental Commitment

Manufacturers, distributors and suppliers shall maintain an ongoing commitment to environmental protection and shall comply with the standards and requirements established in applicable local and international legislation. 14. Confidentiality of Information

Manufacturers, distributors and suppliers are obliged to preserve the integrity and confidentiality of the information they receive as a result of the commercial relationships they maintain with JOMA. The obligation of confidentiality shall remain in force after the termination of their relationship with JOMA and shall include the obligation to return any material related to the company that the manufacturer or supplier may have in their possession.

 

15. Implementation of the Code

Manufacturers, distributors and suppliers shall implement and apply programs to put this Code into practice. They shall designate a Management representative who shall be responsible for the implementation and compliance with this Code. Manufacturers, distributors and suppliers shall make this Code known to all their employees and to those who, in any way, are involved in JOMA’s production chain. A copy of the Code, translated into the local language, shall be displayed in a place accessible to all workers.

 

15.1. Transparency and Sustainability in Contracting

Manufacturers, distributors and suppliers shall maintain honest, ethical and transparent conduct in their activities by keeping an appropriate accounting record system that facilitates traceability of their decisions, as a preventive measure against any corruption, bribery or extortion that may occur. Manufacturers, distributors and suppliers shall not offer, grant, request or accept gifts or gratuities to/from JOMA buyers that contravene the provisions of JOMA’s Code of Conduct and Responsible Practices. Manufacturers, distributors and suppliers shall not manipulate or influence their workers nor falsify files or records in order to alter the verification processes of compliance with this Code. Manufacturers, distributors and suppliers may not offer or accept any type of remuneration intended, whether intentionally or not, to interfere with the impartiality or objectivity of those parties designated by JOMA to carry out inspections and audits of compliance with this Code.

 

15.2. Reference to National Legislation and Agreements

The provisions of this Code constitute minimum standards only. In the event that national legislation or any other applicable regulation, or any other commitments assumed or applicable, including collective agreements, regulate the same matter, the regulation most favorable to the worker shall apply. JOMA assumes, as part of its internal regulations, the content of national and international agreements and conventions to which it has adhered and which apply to its relationships with manufacturers, distributors and suppliers, undertaking to promote and ensure their compliance.

 

15.3. Monitoring and Supervision of Compliance

Manufacturers, distributors and suppliers shall authorize JOMA and/or designated third parties to supervise proper compliance with this Code. For this purpose, they shall provide the means and grant access to facilities and documentation necessary to ensure such verification.

 

(1) Matters related to such limitations shall be governed by ILO Conventions 29 and 105.

(2) Matters related to the prohibition of child labor shall be governed by ILO Conventions 138 and 182.

(3) Matters related to the working conditions of young workers shall be governed by ILO Recommendation 190.

(4) Matters related to occupational health and safety shall be governed by ILO Convention 155.

(5) Matters related to wage payments shall be governed by ILO Conventions 26 and 131.

(6) Working hours shall be governed by ILO Conventions 1 and 14.
